A reported all-stock deal would pair Marvell's chips with Lumentum's lasers, though Marvell shares fell on the news

Marvell Technology is reportedly in advanced talks to acquire Lumentum Holdings. The combination would create a company built around one of the less glamorous but increasingly critical parts of the AI boom: moving data between chips at very high speed.

Bloomberg reported the discussions on October 28, 2026. A deal could be announced as early as the following week, though it would still have to clear regulators.

What’s on the table

The reported structure is an all-stock transaction. That means Lumentum shareholders would be paid in Marvell shares rather than cash.

Lumentum’s market capitalization is estimated at between $83-85 billion. Marvell’s is approximately $196-221 billion.

The two companies do different jobs. Marvell designs semiconductors. Lumentum makes optical lasers and components used inside AI data centers.

The stated strategic goal is to give Marvell a stronger position against industry leaders such as Broadcom.

The market’s split verdict

Traders reacted quickly once the reports surfaced. Marvell’s stock fell 8-15% in after-hours trading. Lumentum’s shares moved the other way and rose.

All-stock deals come with a familiar concern: dilution. When a company pays with new shares, each existing share represents a smaller slice of the combined business.

Why Lumentum is so wanted

Lumentum CEO Michael Hurlston has said that certain products are already sold out into early 2029. He also indicated the company is unable to meet roughly 70% of certain orders next year.

Marvell has been building toward this

The company previously acquired Celestial AI, a deal completed in late 2025 or early 2026. That purchase was aimed at strengthening Marvell’s optical interconnect business. Revenue gains from it are anticipated by the second half of FY2028.

Adding Lumentum would extend that strategy considerably. Celestial AI gave Marvell technology for connecting chips with light. Lumentum would add a large manufacturer of the lasers and components that make those connections work.

What this means

The bull case rests on Lumentum’s order book. If products are sold out into early 2029, the combined company would inherit a long runway of committed demand.

The bear case rests on execution. Integrating a business of this scale is hard. And all of it would play out while Marvell is still digesting its Celestial AI acquisition, with that deal’s revenue contribution not expected until the second half of FY2028.

What to watch next: whether a formal announcement arrives on the reported schedule, the final exchange ratio for Lumentum shares, and how both companies describe plans to expand production.
