Alpha Modus advances deal to add $200 million-plus in Bitcoin to balance sheet

Alpha Modus is advancing a transaction that would add 3,170 BTC, representing more than $200 million in Bitcoin assets, to its balance sheet as the company seeks to strengthen shareholder equity and resolve an outstanding Nasdaq listing deficiency.

In a Thursday statement, the company said the timing of the deal is deliberate. Alpha Modus considered a similar transaction in May 2025 but chose not to move forward. With Bitcoin again attracting interest across public markets, management now sees a more compelling opportunity based on the asset’s value and the potential impact on the company’s balance sheet.

CEO William Alessi said the proposed transaction would materially strengthen shareholder equity while allowing Alpha Modus to maintain its existing business strategy. The company will continue operating across its AI, intellectual property and fintech businesses, with the proposed Bitcoin holdings providing a substantially larger asset base.

Alpha Modus said management expects the increase in shareholder equity to address its current Nasdaq market capitalization/shareholder equity deficiency. However, the company cautioned that the outcome depends on transaction closing, accounting treatment and Nasdaq’s determination regarding listing compliance.
