Digital infrastructure operator Bitari targets $30 million raise in Nasdaq IPO filing
The company serves Bitcoin miners and other high-performance computing customers through energy, hosting, data-center and operations services.
Bitari is seeking to raise about $30 million in an initial public offering as the Texas-based company looks to expand its Bitcoin mining infrastructure business, according to a new SEC filing.
The proposed offering covers approximately 4,3 million shares at an estimated $7 per share, with expected net proceeds of approximately $27 million. Bitari has applied to list its shares on Nasdaq under BIAI, subject to final approval.
Bitari provides infrastructure and operational services for Bitcoin mining and other compute-intensive workloads, including energy sourcing, data-center facilities, machine hosting and maintenance.
The company expects to put the IPO capital toward expansion and development.

About 40% of the net proceeds would go toward strategic acquisitions and investments, 30% toward global market expansion and brand development, 15% toward new mining operations and infrastructure, 10% toward R&D in high-performance computing and energy-efficient technologies, and the remaining 5% toward general corporate purposes and working capital.
Bitari reported nearly $3 million in revenue for the three months ended April 30, 2026 while net income increased to $502,236 from $294,694. For fiscal 2025, the company recorded approximately $11 million of revenue and $1.3 million of net income.
The company plans to expand its regional footprint across North America, with Texas, West Virginia and Indiana among its target markets, while exploring international expansion. It also wants to transition from a traditional hosting provider toward a digital-asset consulting platform and has completed one consulting project since fiscal 2025.
