Meta launches record equity raise of up to $95 billion to fund AI buildout
A $35 billion stock and convertible preferred offering will be followed by a $60 billion share-sale program in non-voting Class C stock
Meta Platforms plans to raise up to $95 billion by selling stock, the largest equity raise in its history, to fund its artificial intelligence buildout, Reuters reported Monday. The company launched about $35 billion in public offerings and outlined a separate at-the-market program of up to $60 billion.
The underwritten portion comprises $22.5 billion of Class A common stock sold alongside forward sale agreements and $12.5 billion of depositary shares tied to Series A mandatory convertible preferred stock, according to Meta’s filing. The preferred converts on or about Aug. 15, 2029, and will list on Nasdaq as “METAM.” Morgan Stanley and Goldman Sachs are leading the deals. Nvidia, AMD and Broadcom indicated interest in up to $5 billion of the common shares.
Non-voting Class C shares preserve Zuckerberg’s control
Meta plans to issue Class C common stock in January 2027, effectively a two-for-one split, and will launch the ATM program after those shares begin trading. The non-voting structure lets Meta raise capital without diluting Chief Executive Officer Mark Zuckerberg’s voting control.
The raise follows heavy spending. Meta last week set 2026 capital expenditures at $135 billion to $145 billion and has committed about $825 billion in future spending, mainly on data centers and AI infrastructure. Free cash flow was negative $2.12 billion in the third quarter, its first negative quarter in more than a decade. Shares fell about 1.4% in morning trading.
