Zeta Network Group secures $10M private placement settled entirely in Bitcoin-backed tokens
The Nasdaq-listed firm is raising capital through share-and-warrant units paid for with Solv-BTC, continuing its strategy of blending traditional equity structures with crypto settlement.
Zeta Network Group just pulled off one of those deals that makes you do a double take. The Nasdaq-listed company announced a $10 million private placement on July 29, with one notable twist: the entire transaction will be settled in approximately 156.65 Solv-BTC tokens, a 1:1 Bitcoin-backed asset valued at $63,835.08 per token.
How the deal actually works
The offering is structured as share-and-warrant units. Each unit consists of one Class A ordinary share priced at $2.93 and one warrant exercisable at $4.40 over a five-year window. The math works out to $10,000,002.10 in total proceeds.
Zeta Network Group, which trades under the ticker ZNB on Nasdaq, focuses on Bitcoin mining operations, liquidity aggregation, and digital-asset management. Its mining operations are particularly concentrated in Kazakhstan.
This isn’t the company’s first time running this playbook. Zeta completed a substantially larger $231 million private placement settled in Bitcoin and Solv-BTC back in October 2025. That earlier raise was roughly 23 times the size of this one.
Reverse split and Nasdaq housekeeping
Just two days before the private placement news dropped, Zeta executed an 8-for-1 reverse share split on July 27. The reverse split, which turned every eight existing shares into one new share, was part of Zeta’s compliance strategy to remain on the exchange. The $2.93 per-share price in the private placement reflects the post-split pricing.
What this means for investors
With an exercise price of $4.40, representing roughly a 50% premium to the $2.93 share price, investors are betting that Zeta’s stock will appreciate meaningfully over the next five years.
